01 Scope and agreement
These Terms of Use ("Terms") are a binding agreement between you and Axielo LLC, a California limited liability company ("Axielo," "we," "us," or "our"). They govern your access to and use of axielo.com, our company and research materials, and any Axielo website, application, model, API, software, or related service that expressly links to these Terms (together, the "Axielo Services").
By accessing or using an Axielo Service, you agree to these Terms. If you do not agree, do not use that service.
02 Mimica and product-specific terms
Mimica is Axielo’s lead consumer product: an AI-powered language-learning service for English and Spanish. Use of Mimica is governed by the Mimica Terms of Service and Mimica Privacy Policy.
Other Axielo products may provide their own terms, policies, order forms, or licenses. Those product-specific terms apply in addition to these Terms and control if there is a conflict concerning that product.
03 Eligibility and accounts
You must be at least 13 years old, or the minimum age required in your country, to use an Axielo Service. If you are under the age of majority where you live, you may use a service only with the consent of a parent or legal guardian.
Some products require an account. When they do, you agree to provide accurate information, safeguard your credentials, and accept responsibility for activity under your account. Product-specific account, security, and deletion rules also apply.
04 Acceptable use
You may use the Axielo Services only lawfully and responsibly. You must not:
- violate applicable law, these Terms, or another person’s rights;
- harass, threaten, defame, impersonate, exploit, or harm another person;
- submit unlawful, abusive, deceptive, discriminatory, or infringing content;
- create malware, phishing, spam, fraud, or other harmful communications;
- interfere with the security, availability, or operation of a service or another user’s account;
- scrape, extract, reverse-engineer, or attempt to obtain source code, model weights, or non-public data except where law or an applicable license expressly permits it;
- resell or commercially exploit a service without Axielo’s written permission; or
- use an Axielo Service for high-risk decisions affecting a person’s rights or opportunities without appropriate human review and legal compliance.
05 Voice, AI, and user content
If a service lets you submit speech, audio, text, prompts, files, or other content ("User Content"), you retain ownership of that content. You grant Axielo a limited, worldwide, non-exclusive, royalty-free license to host, transmit, process, and display it only as reasonably necessary to provide, secure, support, and operate the service, subject to the applicable Privacy Policy.
You represent that you have the rights and permissions required to submit User Content. You must not record, clone, imitate, synthesize, or process another person’s voice without appropriate authorization, or use synthetic media to deceive, defraud, or violate another person’s privacy, publicity, or intellectual-property rights.
AI-generated responses, transcriptions, translations, pronunciation assessments, and other automated output may be inaccurate, incomplete, or inappropriate. Review output before relying on it or sharing it.
If you voluntarily provide ideas, suggestions, bug reports, or other feedback, you permit Axielo to use that feedback without restriction or compensation to you.
06 Intellectual property
Axielo and its licensors own the Axielo Services, including their software, models, designs, documentation, text, graphics, trademarks, logos, and related technology, except for User Content and materials governed by third-party or open-source licenses.
These Terms give you only a limited, non-exclusive, non-transferable, revocable right to use the applicable service as intended. They do not transfer ownership of Axielo intellectual property or authorize use of Axielo’s names, logos, or branding without written permission.
07 Third-party services and licenses
Axielo Services may rely on third-party hosting, authentication, AI, speech-processing, analytics, payment, app-store, security, support, and open-source technologies. Third-party services and licensed components may be governed by their own terms, privacy policies, and license restrictions.
Where an open-source, open-model, or third-party license applies to a component, its mandatory provisions control for that component. Axielo is not responsible for third-party services it does not control.
08 Paid services and subscriptions
If an Axielo product offers paid access, its price, billing period, included features, renewal terms, and cancellation method will be shown before purchase. Purchases made through Apple, Google, or another marketplace are also governed by that marketplace’s payment, cancellation, and refund rules.
Mimica subscription terms—including automatic renewal, cancellation, refunds, and the distinction between account deletion and subscription cancellation—are described in the Mimica Terms of Service.
09 Research, previews, and beta features
Axielo may publish research descriptions or offer experimental, preview, beta, or early-access features. Research specifications are informational and may change. Preview features may be incomplete, inaccurate, unstable, unavailable, or discontinued and should not be used for critical decisions.
10 Disclaimers
Axielo Services are intended for product, educational, research, or productivity use. They are not medical, legal, psychological, immigration, financial, or other professional advice, and they are not certified language assessments unless expressly stated otherwise.
To the fullest extent permitted by law, the Axielo Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, or uninterrupted operation.
11 Limitation of liability
To the fullest extent permitted by law, Axielo and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, use, goodwill, or business interruption arising from an Axielo Service.
To the fullest extent permitted by law, Axielo’s total aggregate liability for claims arising from or relating to an Axielo Service or these Terms will not exceed the greater of (a) the amount you paid Axielo for that service during the twelve months before the event giving rise to the claim or (b) USD $100. Some jurisdictions do not permit certain limitations, so parts of this Section may not apply to you.
12 Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Axielo and its affiliates, officers, employees, contractors, licensors, and service providers from claims, losses, liabilities, damages, costs, and reasonable legal fees arising from your misuse of an Axielo Service, your User Content, your violation of these Terms or applicable law, or your violation of another person’s rights.
13 Suspension, termination, and changes
We may suspend or terminate access when we reasonably believe you violated these Terms, created risk for Axielo or others, or used a service unlawfully or abusively. You may stop using a service at any time. Product-specific account-deletion procedures continue to apply.
We may change the Axielo Services or update these Terms. When changes are material, we will provide notice where required and revise the effective date. Your continued use after updated Terms take effect means you accept them.
14 Governing law and venue
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules, except where applicable law requires otherwise. Subject to any rights you have under mandatory local law, disputes arising from these Terms or an Axielo Service will be brought in the state or federal courts located in California, and you consent to their jurisdiction.
