Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the websites, applications, products, services, software, voice technologies, AI models, and related features provided by Axielo AI (“Axielo AI,” “we,” “us,” or “our”).

By accessing or using our services, you agree to these Terms. If you do not agree, please do not use our services.

1. Our Services

Axielo AI develops AI-powered voice, speech, pronunciation, and language-learning technologies. Our services may include speech recognition, pronunciation analysis, accent feedback, real-time voice practice, text-to-speech, speech-to-text, multilingual voice tools, and related AI-powered features.

Our services are designed for educational, research, productivity, and language-learning purposes. They are not intended to replace professional advice, medical advice, legal advice, immigration advice, psychological services, or certified language assessment services.

2. Eligibility

You must be at least 13 years old, or the minimum age required in your country, to use our services. If you are under the age of majority in your jurisdiction, you may use our services only with the consent of a parent or legal guardian.

By using our services, you represent that you have the legal capacity to agree to these Terms.

3. User Accounts

Some features may require you to create an account. You agree to provide accurate and complete information and to keep your account credentials secure.

You are responsible for all activity that occurs under your account. If you believe your account has been compromised, please contact us promptly.

4. Acceptable Use

You agree to use our services lawfully and responsibly. You may not use our services to:

• Violate any applicable law, regulation, or third-party right.

• Harass, abuse, threaten, defame, impersonate, or harm another person.

• Generate, distribute, or promote hateful, discriminatory, violent, sexually exploitative, deceptive, fraudulent, or illegal content.

• Create or distribute malware, phishing content, spam, or other harmful software or communications.

• Attempt to reverse engineer, extract, scrape, copy, or misuse our systems, models, data, or infrastructure except where expressly permitted by law or by an applicable open-source license.

• Interfere with or disrupt the security, availability, or operation of our services.

• Use the services for high-risk decisions involving employment, housing, credit, insurance, education admission, law enforcement, healthcare, legal status, immigration, or other decisions that may materially affect a person’s rights or opportunities without appropriate human review and legal compliance.

• Use voice or speech technology to impersonate another person, mislead others, commit fraud, or create unauthorized synthetic voice content.

5. Voice and AI-Specific Rules

Because our services may involve voice, speech, pronunciation, and AI-generated outputs, you agree that you will not:

• Upload, record, or process another person’s voice without appropriate consent.

• Use our services to clone, imitate, or synthesize a person’s voice without authorization.

• Use our services to deceive others about whether audio, speech, or content is generated, modified, or synthetic.

• Use our services to create content that infringes privacy, publicity, intellectual property, or other legal rights.

• Rely on pronunciation, accent, fluency, or language feedback as a certified academic, employment, immigration, medical, or legal evaluation.

AI outputs may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing outputs before relying on them or sharing them.

6. OpenRAIL-M and Responsible AI Model Licensing

Some Axielo services may use, integrate, fine-tune, modify, or distribute AI models or model components that are licensed under OpenRAIL-M, OpenRAIL, Responsible AI License terms, or similar model licenses.

Where an applicable model license applies, your use of those model-based features is also subject to that license and any related use restrictions, attribution requirements, redistribution requirements, model card terms, and responsible-use obligations.

You agree not to use any OpenRAIL-M-based or similarly licensed model feature for uses prohibited by the applicable model license, including harmful, illegal, deceptive, discriminatory, abusive, or high-risk uses.

If we make available any model, derivative model, model weights, fine-tuned version, or related materials governed by OpenRAIL-M or similar terms, you agree that:

• You will comply with the applicable license.

• You will preserve required notices, attributions, license terms, and use restrictions.

• You will pass through required use restrictions to downstream users where required.

• You will not remove or obscure model license notices.

• You will not use the model or derivative model in a way that violates the applicable responsible-use restrictions.

If there is a conflict between these Terms and a mandatory provision of an applicable open-source or open model license, the applicable license will control only with respect to the licensed model or component.

7. Intellectual Property

Axielo AI and its licensors own all rights, title, and interest in our services, software, designs, trademarks, logos, models, systems, documentation, and related technology, except for content, software, models, or materials licensed from third parties or made available under open-source or open model licenses.

These Terms do not grant you ownership of any Axielo intellectual property.

You may not use our name, logos, branding, or trademarks without our prior written permission.

8. User Content

You may provide text, audio, voice recordings, prompts, feedback, files, or other content to our services (“User Content”).

You retain ownership of your User Content. By submitting User Content, you grant Axielo AI a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, display, analyze, and use the User Content as necessary to provide, maintain, secure, and improve the services, subject to our Privacy Policy.

You represent that you have all rights and permissions necessary to provide User Content to us.

9. Feedback

If you provide suggestions, ideas, bug reports, comments, or feedback, you grant Axielo AI the right to use them without restriction or compensation to you.

10. Third-Party Services and Models

Our services may rely on or integrate third-party platforms, APIs, models, infrastructure, analytics tools, payment processors, app stores, hosting providers, or open-source components.

Your use of third-party services may be governed by their own terms and privacy policies. We are not responsible for third-party services that we do not control.

11. Subscriptions, Payments, and App Stores

If we offer paid services, subscription terms, pricing, billing frequency, cancellation terms, and refund rules will be presented at the time of purchase.

If you purchase through Apple, Google, or another app store, your purchase may also be subject to that app store’s payment, cancellation, and refund policies.

12. Beta Features

We may offer beta, experimental, preview, or early-access features. These features may be incomplete, unstable, unavailable, inaccurate, or changed at any time.

Beta features are provided for testing and feedback and should not be used for critical decisions.

13. Disclaimers

Our services are provided “as is” and “as available.” To the maximum extent permitted by law, Axielo AI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, and uninterrupted operation.

We do not guarantee that the services will be error-free, secure, or available at all times.

We do not guarantee that AI-generated outputs, pronunciation feedback, accent feedback, translations, transcriptions, or speech analysis will be accurate, complete, or suitable for your intended purpose.

14. Limitation of Liability

To the maximum extent permitted by law, Axielo AI and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, business interruption, reputational harm, or loss of goodwill.

To the maximum extent permitted by law, our total liability for any claim arising out of or related to the services or these Terms will not exceed the greater of: (a) the amount you paid to Axielo AI for the services in the twelve months before the claim arose, or (b) USD $100.

15. Indemnification

You agree to indemnify and hold harmless Axielo AI and its affiliates, officers, employees, contractors, licensors, and service providers from any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from:

• Your use or misuse of the services.

• Your User Content.

• Your violation of these Terms.

• Your violation of applicable law.

• Your violation of third-party rights.

• Your violation of any applicable OpenRAIL-M, open model, open-source, or third-party license terms.

16. Suspension and Termination

We may suspend or terminate your access to the services if we believe you violated these Terms, created risk for us or others, or used the services unlawfully or abusively.

You may stop using the services at any time. Certain provisions of these Terms will survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute provisions.

17. Changes to the Services or Terms

We may update our services or these Terms from time to time. If changes are material, we will provide reasonable notice where required.

Your continued use of the services after the updated Terms become effective means you accept the updated Terms.

18. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles, unless applicable law requires otherwise.
